FOR OWNERS & INVESTORS

TURN OWNERSHIP OBJECTIVES INTO AN OPERATING MANDATE.

Support before an acquisition, practical development and integration after it, and management partnerships with clear governance. N7X4 can work with an owner without making an equity investment.

ADVISE · LEAD · BUILD · OPERATE

Before an acquisition.

Understand the operating position

Review the business and operating model, organisation, leadership requirements, investment needs and integration assumptions within an agreed scope.

Create a decision basis

Define the information gaps, development priorities and conditions for an implementation mandate. Specialist clinical, legal, tax or technical reviews require separately agreed qualified resources.

After an acquisition.

Translate ownership objectives into a realistic development agenda: integration priorities, management routines, roles, reporting, investment decisions and a funded mobilisation plan. A transaction does not automatically establish a management mandate.

Separate ownership, management and medical responsibility.

Owner & governing bodies

Retain reserved matters, capital allocation, appointments and statutory obligations attributable to them.

N7X4 mandate lead

Is accountable for the expressly agreed development, management or operating tasks, with documented authority and reporting.

Clinical leadership & authorised providers

Retain medical judgement, patient-care decisions and the clinical or statutory responsibilities assigned by law and the agreed governance arrangements.

Governance that makes decisions traceable.

Agree the reporting cadence, financial and operational information, risk escalation, review meetings, delegated authority and reserved matters. Objectives and measures are defined at the outset; result improvements are not guaranteed.

Independent engagement. Transparent interests.

Working with N7X4 does not require an investment, transaction or engagement with another group business. If a KØDE investment or KØDE MERCHANT engagement is considered, its scope, commercial interests and decision rights are disclosed and separately agreed. Potential conflicts are identified before acceptance and addressed through disclosure, separate approvals, safeguards or declining the affected work.

Start with operating readiness.

The Hospital & Care Readiness Review can establish the current position and clarify what must be resolved before a wider management partnership.
